Service
Signalbuy provides e-commerce software designed to analyse shopper intent and behavioural signals, delivering contextual shopper assistance, AI-enabled functionality, integrations, and analytics made available from time to time.
Features may evolve over time, and the Service is defined by the functionality made available through the platform and applicable subscription tier.
Acceptable Use & Service Levels
Licence & Restrictions: Signalbuy grants the Merchant a non-exclusive, non-transferable, revocable licence to access and use the Service. The Merchant shall not: (a) reverse-engineer, decompile, or attempt to derive the source code, algorithms, or scoring logic of the Service; (b) use the Service to build a competing product; or (c) bypass any security controls.
Service Availability: The Service is provided on an "as-is" and "as-available" basis. Signalbuy does not warrant that the Service will be uninterrupted, error-free, or completely secure.
Subscriptions and Payment
Free Trial: Signalbuy may offer a 7-day free trial. If not cancelled before expiry, the subscription automatically converts into a paid monthly subscription at the prevailing rate.
Monthly Subscriptions: Billed monthly in advance through the Shopify App Store or another approved payment method. Monthly subscriptions continue until cancelled, taking effect at the end of the current billing period.
Annual Subscriptions: Committed for an initial 12-month period, invoiced with 30-day payment terms, and renewed automatically for successive 12-month periods unless either party gives at least 30 days' written notice before renewal.
Suspension: Signalbuy reserves the right to suspend access to the Service immediately in the event of overdue payments or material breach of these Terms.
Data Protection and Intellectual Property
Merchant Data: The Merchant retains ownership of all data provided to or collected by Signalbuy on the Merchant's behalf ("Merchant Data").
Data Protection (UK GDPR): To the extent Merchant Data contains Personal Data (as defined under UK Data Protection Law), the Merchant is the Data Controller and Signalbuy is the Data Processor. Processing shall be governed by Signalbuy's Data Processing Addendum (DPA).
Intellectual Property: Signalbuy retains exclusive ownership of its software, platform, algorithms, methodologies, machine learning models, scoring logic, interfaces, and intellectual property.
Aggregated Data: Signalbuy may use anonymised, aggregated, or de-identified information to improve the Service, train models, and create benchmarks, provided neither individuals nor merchants can reasonably be identified.
AI and Results
AI Outputs: AI-assisted outputs rely on probabilistic models and may occasionally be incomplete or inaccurate.
No Commercial Guarantee: Signalbuy does not guarantee conversion uplift, revenue improvement, cart recovery rates, or any specific commercial outcome.
Third-Party Services
Shopify and other integrations remain subject to their own terms and platform availability. Signalbuy is not responsible for disruptions, data loss, or failures caused by third-party platforms.
Liability Position
Excluded Losses: To the fullest extent permitted by law, Signalbuy excludes liability for indirect, special, or consequential losses, including loss of profits, revenue, goodwill, or data.
Liability Cap: Signalbuy's aggregate liability arising out of or related to these Terms is capped at the total fees paid or payable by the Merchant in the 12 months preceding the event giving rise to liability.
Non-Excludable Liabilities: Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.
Governing Law
These Terms and any non-contractual obligations arising out of them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
